RaundTable Terms and Conditions

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and RaundTable Pty Ltd (ACN 24 648 353 066) (“RaundTable,” “we,” “us,” or “our”). By accessing or using the RaundTable mobile application (“App”) or any services provided through it (“Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. INTRODUCTION

1.1 RaundTable is a digital platform that facilitates the formation and operation of rotating savings and credit groups, known as Tables, allowing Users to collectively save and access funds.

1.2 These Terms apply to your use of the App, the Services, and any information, features, or tools made available by RaundTable. By registering an account or using the Services, you agree to these Terms.

2. OVERVIEW OF SERVICES

2.1 RaundTable provides digital tools and infrastructure to facilitate group-based savings, promote financial literacy, and encourage responsible contribution practices through features such as:
(a) Table Market;
(b) User Wallets;
(c) Payout Protection Cover (PPC);
(d) Contribution Reserving (CR).

2.2 While taking reasonable measures, RaundTable does not guarantee successful participation by any members and assumes no responsibility for the conduct of Users within Tables.

3. RISK OF FINANCIAL LOSS

3.1 While RaundTable has implemented security features such as Payout Protection Cover (PPC) and Contribution Reserving (CR) to mitigate the risk of loss due to User default, the use of the App and Services still involves a degree of financial risk.

3.2 Users may lose part or all of their Contributions in the event of unforeseen circumstances, including, but not limited to, multiple defaults, system errors, or unresolvable disputes.

3.3 Users are advised to carefully consider their financial position and the risks involved before participating in any Table.

4. DEFINITIONS


Admin Fee means the amount payable to RaundTable calculated at 1% of the payout amount for any Table participation beyond the first completed cycle.

App means the RaundTable mobile application and associated platform services.

Contribution means the scheduled financial payment a User is required to make as part of their participation in a Table.

Contribution Reserving (CR) means the process by which a portion of a User’s future scheduled Contribution is held in reserve in the User’s Wallet as a condition of early payout.

Default means the failure of a User to make a required Contribution on the scheduled date.

Payout means the disbursement received by a User according to the agreed Table schedule.

Payout Protection Cover (PPC) means the refundable security contribution paid by Users in each cycle, designed to safeguard Tables from Defaults.

Table means a group of Users engaged in a structured rotating savings and credit association arrangement via the App.

User Wallet or “Wallet” means the digital holding account provided to each User to facilitate Contributions and Payouts.

5. ELIGIBILITY

5.1 The Services are intended solely for persons who are at least 18 years of age. By using the App, you represent and warrant that you meet this requirement and are capable of entering into legally binding agreements.

6. SERVICES WE DO NOT PROVIDE

6.1 RaundTable is not a financial institution, bank, lender, credit provider, investment adviser, debt recovery service provider or insurer.

6.2 RaundTable does not offer loans, investment products, or financial advice. Information provided through the App is general in nature and does not take into account your specific circumstances or financial needs.

6.3 Users are solely responsible for assessing the suitability of the Services for their financial goals and for seeking independent financial advice if necessary.

7. SCOPE OF SERVICES

7.1 Through the App, Users may:
(a) join a Table or request RaundTable to create a custom Table;
(b) Participate in scheduled Contributions;
(c) Receive lump sum Payouts;
(d) Use platform features such as Table Market, User Wallets, Payout Protection Cover (PPC), and Contribution Reserving (CR).

8. FEES AND CHARGES

8.1 RaundTable imposes no fee for participation in a User’s first Table cycle.

8.2 For subsequent Table cycles, including repeat participation in a previously completed Table or participation in a new Table, an Admin Fee of 1% of the User’s Payout shall apply.

8.3 Users who fail to make a scheduled Contribution may be subject to a late payment fee of $30.

8.4 Users who exit a Table prior to completion may incur an early exit fee of $50.

9. USER WALLETS AND TRANSACTIONS

9.1 Each User shall be assigned a digital Wallet, accessible via the App, for the purposes of managing Contributions, receiving Payouts, and processing refunds.

9.2 Wallet transactions, including top-ups and withdrawals, shall be processed using supported payment methods including PayID and bank transfers. Processing times may vary based on external banking institutions and may take up to twelve (12) hours.

10. PAYOUT PROTECTION COVER (PPC)

10.1 Each User shall, in addition to their regular Contribution, pay a refundable security fee equivalent to ten percent (10%) of their Contribution amount. This amount constitutes the Payout Protection Cover (PPC).

10.2 The PPC shall be held in trust and applied only in the event of a Default by a participating User. In such an event, the PPC contributed by the Defaulting User shall be applied first to remedy the shortfall.

10.3 Should the Defaulting User’s PPC be insufficient to cover the full amount due, RaundTable reserves the right to proportionately draw on the PPC contributed by other Users in the same Table to offset the outstanding balance.

10.4 In the event that no Defaults occur in a Table cycle, the PPC shall be refunded in full to each contributing User within a reasonable time following the completion of the Table.

10.5 It is the User’s responsibility to ensure that PPC payments are made in full and on time. Failure to do so may result in forfeiture of Table participation rights.

11. CONTRIBUTION RESERVING (CR)

11.1 Users who are assigned or elect to occupy early Payout positions (specifically positions one (1) through three (3)) in a Table shall be required to reserve their next scheduled Contribution at the time of withdrawing their Payout.

11.2 The reserved Contribution shall remain in the User Wallet and shall not be accessible or withdrawable until its scheduled deduction for the subsequent Contribution cycle.

11.3 The purpose of Contribution Reserving is to mitigate the risk of Defaults from Users who have already received their Payout and are yet to fulfil their remaining Contribution obligations.

11.4 Users who fail to maintain adequate Wallet balances for the CR obligation may be deemed non-compliant and subject to removal from the Table, forfeiture of PPC, and/or future participation restrictions.

12. TABLE MARKET

12.1 The Table Market is available for a User to browse, apply for, and join active and pre-vetted Tables.

12.2 Users must agree to the specific terms, rules, and schedules of any Table they wish to join via Table Market.

12.3 RaundTable reserves the right to remove any User from a Table in the event of non-compliance, late payments, Defaults, or violation of community guidelines.

13. COMPLETION OF TABLES

13.1 A Table shall be deemed complete once the final scheduled Payout has been made to the last remaining User.

13.2 Upon completion:
(a) Transaction histories shall be archived and made accessible through the Wallet;
(b) Users may opt to rejoin or initiate a new Table;
(c) A new cycle start date shall be set, typically within three (3) days following completion.

14. PROMOTIONS

14.1 RaundTable may from time to time offer promotional incentives, including but not limited to:
(a) Sign-up bonuses using promotional codes;
(b) $1 Risk-Free Trial Tables to allow new Users to experience the platform.

14.2 Promotions may be subject to additional eligibility conditions and may be modified or terminated at RaundTable’s sole discretion.

15. USER OBLIGATIONS

15.1 By using the App, Users agree to:
(a) Provide true, accurate, and complete information during registration and verification;
(b) Safeguard login credentials and promptly report any unauthorised access;
(c) Fulfil all Contribution and PPC obligations in a timely manner;
(d) Respect the rules and conduct requirements applicable to each Table;
(e) Refrain from any fraudulent, illegal, or disruptive activity while using the Services.

16. DATA SECURITY

16.1 RaundTable utilises bank-grade encryption protocols and employs third-party monitoring to safeguard personal data and financial transactions.

16.2 While reasonable efforts are made to protect User information, RaundTable shall not be liable for unauthorised access resulting from circumstances beyond its control.

17. TERMINATION AND BLACKLISTING

17.1 RaundTable reserves the right to terminate any User account for breach of these Terms or for engaging in misconduct, fraud, or Default.

17.2 Users who Default and fail to reimburse the PPC pool may be blacklisted and referred to debt collection agencies for recovery at RaundTable’s sole discretion.

18. DISCLAIMER AND LIMITATION OF LIABILITY

18.1 RaundTable provides the App and Services on an “as is” and “as available” basis without warranties of any kind, whether express or implied.

18.2 RaundTable shall not be liable for any indirect, incidental, special, or consequential damages resulting from the use or inability to use the Services, including but not limited to loss of data, income, profits, or goodwill.

18.3 Notwithstanding anything to the contrary, RaundTable’s aggregate liability shall not exceed the amount of Admin Fees actually received from the User during the preceding six (6) months.

19. WAIVER AND SEVERABILITY

19.1 Failure by RaundTable to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

19.2 If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

20. AMENDMENTS

20.1 RaundTable reserves the right to amend these Terms at any time. Amendments shall be effective upon posting the revised Terms within the App or on the website.

20.2 Continued use of the Services after such amendments shall constitute acceptance of the revised Terms.

21. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of Western Australia. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Western Australia.
